The Terms That Apply to This Website and Our Work

Fit Supply, LLC is a Texas limited liability company supplying commercial fitness facility design, equipment, installation and service. Part A below governs your use of this website. Part B is our Terms and Conditions of Sale, published here so you can read them before you sign rather than after.

Part A — Using this website

Information only

The content on this site is provided for general information. Specifications, brands carried, availability, lead times and figures drawn from published standards are given in good faith and can change without notice. Where this site refers to ADA, IBC, ASTM, ACSM or Texas accessibility requirements, those references are summaries offered to help you ask the right questions. They are not reproduced in full, they are not a compliance opinion, and they are not a substitute for your own architect, engineer, Registered Accessibility Specialist or authority having jurisdiction. Do not use this website as the specification for a project.

Any space plan, layout or 3D rendering shown here or provided to you is a visualization and planning aid only. It is not architectural, engineering or other licensed professional service and may not be relied on for structural, electrical, code, accessibility or life-safety compliance.

Nothing on this website is an offer capable of acceptance, and no order binds Fit Supply until we accept it.

FIT SUPPLY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOSS OF USE, LOSS OF GOODWILL OR LOSS OF DATA, EVEN IF ADVISED OF THE POSSIBILITY.

Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you; where that is so, our liability is limited to the greatest extent the law allows.

Indemnification

You agree to indemnify, defend and hold harmless Fit Supply, LLC and its officers, employees, agents and subcontractors from any claims, damages, losses, liabilities, costs and expenses, including reasonable attorneys’ fees, arising out of your use of this website or your breach of these website terms.

Acceptance, and who may use this site

By accessing fitsupply.com you accept these terms. If you do not accept them, do not use the site. This is a business-to-business website intended for people acting for a business, institution or public body; it is not directed at children and is not intended for anyone under 13. Where you use the site on behalf of an organization, you confirm you are authorized to accept these terms for it.

Our content, and what you may do with it

The text, photography, renderings, layouts, page design, logos and arrangement of this site are owned by Fit Supply, LLC or used under license, and are protected by copyright and trademark law. The project photography is of real installations we completed and is not stock. You may view the site, and print or download pages for the ordinary purpose of evaluating or procuring our products and services. You may not copy, republish, scrape, mine, resell or use our content to train a model, or use our name, logo or photographs to imply endorsement, without our written permission.

Acceptable use

Do not attempt to gain unauthorized access to the site or anything connected to it, probe or test its security, introduce malicious code, place disproportionate load on it, misrepresent who you are, or use it for any unlawful purpose. We may restrict access where any of that occurs.

Links to other sites

The Service Request and Sales Request buttons open a form hosted by Oracle NetSuite, and the site also links to our social profiles and to a map provider. Once you follow a link off fitsupply.com you are on someone else’s site under their terms and their privacy policy. We do not control those sites and are not responsible for their content or their handling of your information. What we do with information you send us is set out in our Privacy Policy, which forms part of these terms.

Availability, and changes to the site

We may change, suspend or withdraw any part of this site at any time without notice, and we do not guarantee it will be available uninterrupted or error free. Content may be updated or removed as products, pricing and lead times change.

Accessibility

We aim to meet WCAG 2.1 Level AA on this site and treat accessibility as a requirement rather than an afterthought. If any page is difficult to use with assistive technology, tell us at info@fitsupply.com and we will fix it and, if you want, give you the information you were after by another route in the meantime.

Electronic communications and notices

When you contact us electronically or submit a request form, you consent to receiving communications from us electronically, and agree that electronic communications satisfy any legal requirement that a communication be in writing. Legal notices to Fit Supply must be in writing and sent to info@fitsupply.com or to our registered address.

Changes to these terms

We may update these terms; the effective date at the foot of this page changes when we do, and continued use of the site after that date is acceptance of the updated version. The version that governs a sale is the one in force when your proposal was executed.

No waiver; assignment; entire agreement

Our failure to enforce a provision is not a waiver of it. You may not assign your rights under these website terms; we may assign ours. Together with the Privacy Policy, and with any signed quote in the case of a sale, these terms are the entire agreement between us as to your use of this website.

Time limit on website claims

Any claim arising out of or relating to this website or to Part A must be brought within one (1) year after the claim arose, or it is permanently barred, except where a longer period is required by law that cannot be shortened by agreement. This one-year limit applies to Part A only; claims relating to a sale are governed by Part B and by applicable law.

Governing law and venue

Part A is governed by the laws of the State of Texas, without regard to its conflict of laws rules, and the exclusive venue for any dispute is the state or federal courts located in Tarrant County, Texas.

Changes

We may update this page, and the effective date below changes when we do. If any provision is held unenforceable, the rest remain in force.

Part B — Terms and Conditions of Sale

These are the terms that print on every Fit Supply quote. They apply to our sale of products and services. Where you have signed a Fit Supply proposal, the version of these terms printed on that signed proposal controls over this page. In these terms, “Fit Supply” means Fit Supply, LLC, a Texas limited liability company, and “Buyer” means the buyer named on the proposal.

1. Agreement; no oral modification

The accepted proposal together with these Terms and Conditions of Sale (the “Agreement”) is the entire and exclusive agreement between Fit Supply and Buyer, and supersedes all prior discussions, representations and agreements. It may not be supplemented or modified by course of dealing, course of performance or trade usage. No sales representative or agent may alter these terms; any change must be in writing signed by a corporate officer of Fit Supply. Fit Supply may correct clerical, typographical or mathematical errors at any time.

2. Buyer’s purchase order

Buyer may issue a purchase order for convenience only. Any term in Buyer’s purchase order or other form that is additional to or inconsistent with this Agreement is rejected and has no effect, even if Fit Supply accepts or fills the order. For any of Buyer’s terms to apply, Buyer must deliver them in writing and obtain a Fit Supply corporate officer’s written agreement before this Agreement is executed. Buyer’s execution constitutes acceptance of all of these terms.

3. Prices; taxes; fees

Prices are valid thirty (30) days from the proposal date unless sooner executed, and are exclusive of all sales, use, excise and similar taxes. Fit Supply collects and remits sales or use tax only where it has a collection obligation (nexus); any such tax will be separately stated on the proposal or invoice and added to the price as a pass-through charge payable by Buyer, unless Buyer furnishes a valid resale or exemption certificate. Tax is determined as of the taxable event (delivery or installation). The price includes only those taxes, if any, that were applicable and separately stated as of the proposal date; if Fit Supply acquires a collection obligation on or before the taxable event, or if applicable tax law changes, the then-applicable tax is added to the price, is payable by Buyer, and is not deemed included in the price. Buyer is also responsible for freight, forwarding, brokerage, duty, export-license and similar charges.

4. Payment

Unless the proposal states otherwise, terms are fifty percent (50%) down and fifty percent (50%) due on delivery. Fit Supply must receive the down payment before any product is ordered; the balance is due on or before shipment or installation; and all shipped orders must be paid in full before shipment. Alternate or net terms apply only if approved through Fit Supply’s credit process and stated in writing. Time is of the essence as to payment. All payments are due in full without setoff, deduction or withholding. Amounts not paid when due bear interest at 1.5% per month (or the highest lawful rate, if lower) until paid. On any payment default, Fit Supply may suspend or cancel pending orders, withhold shipment, and exercise every available remedy, and may offset any amount Buyer owes against any amount Fit Supply owes Buyer. Buyer will reimburse all costs of collection, including reasonable attorneys’ fees. A $50 charge applies to each returned or dishonored payment.

5. Payment security; wire fraud; verification of instructions

Buyer is solely responsible for verifying the authenticity of all payment and wire-transfer instructions before remitting any funds. Fit Supply will not change its payment or wire instructions by email alone. Buyer must independently verify any payment, wire or account instructions — and any purported change to them — by calling a known Fit Supply telephone number taken from a prior invoice or Fit Supply’s official records, and never a number contained in the email or instruction in question, before sending funds. Email is an insecure channel and may be compromised; Fit Supply assumes no responsibility for, and Buyer assumes all risk of, instructions that are altered, intercepted, spoofed or fraudulently sent by any third party, including through compromise of either party’s or any representative’s email account. Payment made to any account other than Fit Supply’s verified account does not discharge Buyer’s payment obligation, and Buyer remains liable to Fit Supply for the full amount due.

6. Retention of title; security interest; repossession

Title to all products remains with Fit Supply until Fit Supply receives payment in full. To secure payment and performance of all obligations owed, Buyer grants Fit Supply a purchase-money security interest under the Uniform Commercial Code in all products sold and their proceeds, and this Agreement is a security agreement. Buyer authorizes Fit Supply to file financing statements, fixture filings, and continuations or amendments to perfect that interest, and appoints Fit Supply as Buyer’s attorney-in-fact to execute them. Upon any payment default, Fit Supply may, without breach of the peace and upon reasonable notice, enter Buyer’s premises during normal business hours to take and remove any products not paid for in full, and Buyer will assemble the products and provide reasonable access. Buyer will pay all reasonable costs of repossession, including attorneys’ fees. These remedies are in addition to all others.

7. Shipment; risk of loss

Shipment is F.O.B. Fit Supply’s or the manufacturer’s warehouse. Except where Fit Supply delivers and installs with its own personnel, risk of loss passes to Buyer when products are delivered to the carrier or picked up by or for Buyer, and Buyer then bears all risk of loss or damage in transit and handling; where Fit Supply both delivers and installs with its own personnel, risk passes to Buyer upon delivery to the installation site. Buyer must inspect before accepting delivery and note any visible damage on the delivery receipt; acceptance of delivery is acceptance of the products. Where Buyer arranges its own carrier or pickup, Buyer must file any freight-loss or damage claim directly with the carrier. Where Fit Supply arranges the carrier, Fit Supply will, as an accommodation to Buyer, file and pursue any freight-loss or damage claim with the carrier on Buyer’s behalf. In all cases risk of loss passes to Buyer as stated above, and Buyer remains obligated to pay Fit Supply in full regardless of any carrier dispute or the status or outcome of any claim. Shipment and delivery dates are estimates only; Fit Supply will use commercially reasonable efforts to meet them and is not liable for any loss arising from delay. Fit Supply may allocate inventory among customers and make partial shipments, each separately invoiced and payable when due.

8. Custom products

Custom products require non-refundable 100% payment and cannot be cancelled, returned, rescheduled or refused. An executed Agreement that includes custom products obligates Buyer to take and pay for delivery. Custom orders may carry an upcharge set by Fit Supply.

9. Returns; cancellation; restocking

Custom and Buyer-modified products may not be returned or cancelled. Standard stock products may be returned only with Fit Supply’s prior written authorization, in new and resalable condition in original packaging, at Buyer’s expense and risk, and subject to a 25% restocking charge. After execution, any cancellation is subject to a 25% cancellation fee of the proposal total. Buyer is responsible for all freight and insurance costs on refused shipments.

10. Installation; storage; site and property

If Buyer contracts Fit Supply to install, installation will be performed in a workmanlike manner on or about the agreed date, for which Buyer will provide a site survey and confirmed date. Buyer is responsible for site readiness, including adequate space, flooring, structural capacity and electrical service meeting the proposal specifications — for example, 110V treadmills require a dedicated 100–125VAC, 50/60Hz, 20A circuit on a NEMA 5-20R outlet, independently isolated. Product held at Buyer’s request more than ten (10) days after the installation date is subject to a storage fee; product held more than thirty (30) days is also subject to a 10% restocking fee. Fit Supply is not liable for damage to driveways, floors, walls, doorways, landscaping or other property along the delivery or installation path, including damage from delivery vehicles, which may weigh up to 12,000 lbs; Buyer must disclose conditions likely to cause such damage before delivery and is responsible for any resulting damage. Curb or street-side delivery is available at additional cost.

11. Warranty; manufacturer warranty controls

ALL NEW EQUIPMENT CARRIES ONLY THE MANUFACTURER’S OWN LIMITED WARRANTY, WHICH FIT SUPPLY PASSES THROUGH TO BUYER; FIT SUPPLY DOES NOT INDEPENDENTLY WARRANT NEW EQUIPMENT. Any warranty information shown on the proposal is a convenience summary only; the manufacturer’s published warranty, including as stated on the manufacturer’s website, is controlling and governs over any discrepancy on the proposal. Used, refurbished and remanufactured products are warranted only as set forth in the Used Equipment Conditions section below. EXCEPT AS EXPRESSLY STATED, PRODUCTS ARE SOLD “AS IS,” AND FIT SUPPLY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. The applicable warranty is Buyer’s sole and exclusive remedy. Where Fit Supply installs, it warrants its installation workmanship for one (1) year from completion, which is its only labor warranty.

12. Used equipment conditions

Used products are sold in one of three conditions:

  • As-Is — sold with no service, repair or warranty of any kind; Buyer accepts the product in its present condition and at its own risk.
  • Cleaned and Serviced (Refurbished) — the product is cleaned and its moving and wear components are inspected and lubricated, cleaned, calibrated or replaced as needed; cosmetic condition is not addressed, and the product may show blemishes, wear, scratches, discoloration or worn displays. Products in this condition include a 30-day parts-and-labor warranty.
  • Remanufactured — the product is returned to like-new working condition, including a painted frame and replaced wear components, and includes a 90-day parts-and-labor warranty; custom color options may be available.

Except for the warranty expressly stated for the applicable condition, all used products are sold AS IS, and Fit Supply disclaims all other warranties, express or implied, including merchantability and fitness for a particular purpose. All used-equipment sales are final, and used products may not be returned except as required by the applicable condition warranty. Model, age, hours, mileage and specifications stated for used products are approximate and not warranted. Extended or additional warranty coverage may be available for purchase on certain new or used products; any such coverage applies only if stated on the proposal or in a separate warranty document and is subject to its own terms.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIT SUPPLY’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT WILL NOT EXCEED THE PRICE PAID FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM. FIT SUPPLY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOSS OF USE, OR PERSONAL INJURY, EVEN IF ADVISED OF THE POSSIBILITY.

Any space plans, layouts or 3D renderings Fit Supply provides are for visualization and planning purposes only; they are not architectural, engineering or other licensed professional services and may not be relied upon for structural, electrical, code, accessibility or life-safety compliance. Buyer is responsible for confirming the suitability, fit, clearances, code compliance and structural adequacy of the products and layout for its facility, including through its own licensed professionals. Fit Supply does not provide architectural or engineering services and is not responsible for Buyer’s final selection, specification or use of the products.

14. Buyer indemnity

Buyer will indemnify, defend and hold harmless Fit Supply from third-party claims for bodily injury or property damage to the extent arising from Buyer’s use, operation, storage or supervision of the products, Buyer’s site or premises conditions, or Buyer’s negligence or willful misconduct, except to the extent caused by Fit Supply’s own negligence.

15. Force majeure

Fit Supply is not liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, labor disputes, supplier or manufacturer failures, transportation failures, accidents, war, terrorism, riot, pandemic or government action. Delivery dates are estimates only, and performance resumes as soon as practicable after the cause ceases.

16. Default; bankruptcy

In addition to its other remedies, upon Buyer’s bankruptcy, insolvency, assignment for the benefit of creditors or receivership, Fit Supply may cancel any unfilled portion of Buyer’s order without liability and accelerate all amounts owed.

17. General

This Agreement is governed by Texas law, and the parties submit to the exclusive jurisdiction and venue of the state and federal courts in Tarrant County, Texas. The prevailing party in any dispute is entitled to its costs and reasonable attorneys’ fees. Buyer may not assign this Agreement without Fit Supply’s written consent; Fit Supply may assign freely. No waiver is effective unless in writing signed by the waiving party. If any provision is unenforceable, the remainder stays in effect. Notices must be in writing and are effective on personal delivery or three (3) days after certified mailing. This Agreement may be executed electronically and in counterparts. Sections on payment, taxes, title and security interest, warranty disclaimers, limitation of liability and indemnity survive completion or termination.

18. Warehouse pickup

If Buyer elects to pick up equipment from Fit Supply’s warehouse, the equipment carries NO WARRANTY and is taken at Buyer’s own risk. By taking pickup, Buyer acknowledges it has tested the equipment, finds it in good working order, and agrees Fit Supply is not liable for its condition, functionality, or any injury occurring in transport or use once it leaves the warehouse. Buyer was offered delivery with warranty and declined. On a quote, this acknowledgment is signed separately.

Acceptance; authority; agents and owners

By signing a Fit Supply proposal, Buyer accepts the Agreement, which binds Buyer upon Buyer’s signature whether or not countersigned by Fit Supply; Fit Supply may also accept by performing. The signer represents that it is authorized to bind Buyer and any principal for whom it signs. Anyone signing as agent, property manager or representative of an owner is jointly and severally liable with that owner for all obligations. The Agreement binds the parties’ successors and assigns, and no sale or transfer of the property and no change in owner, management company or agent reduces or discharges Buyer’s obligations or releases the signing party.
